Terms and Conditions
Definitions
- Agreement: The contract, proposal, these Terms, and any accompanying documentation.
- Client Materials: Any content provided by the Client for inclusion in the Project, including text, images, and other materials.
- Deliverables: The work that the Company is contractually obligated to produce.
- Company Tools: All tools, software, frameworks, templates, code, fonts, applications, and methodologies developed or used by the Company, whether patentable or not, including non-copyrightable elements such as site architecture, layout, navigation, and functionality.
- Final Deliverables: The approved version of deliverables delivered to the Client.
- Project: The work defined under the Agreement.
- Services: All services provided to the Client as outlined in the Agreement or proposal.
- Third-Party Materials: Resources sourced from external providers, such as stock images, illustrations, or libraries.
Development Services
HireNodeDevelopers.com will deliver all development services according to the scope, proposal, and agreed project milestones.
Proposal and Scope of Work
All proposals are valid for 30 days from receipt by the Client. If a proposal is not accepted within this period, the Company reserves the right to revise and resubmit it for approval.
Fees and Additional Costs
- Additional Costs: Expenses for third-party services, hosting, or licenses are billed separately from development fees.
- Expenses: All reimbursable expenses incurred in connection with the Project are billed at cost.
- Fees: All service fees and applicable taxes must be paid as specified in the project plan.
Payment
- Invoices: Payments are due within 5 calendar days of invoice receipt.
- Payment Schedule: Payments must be made according to the milestones defined in the project plan.
Late or missed payments may result in suspension of services until payment is received.
Changes to Project Scope
- Change Requests: Any modifications requested by the Client must be submitted in writing. The Company will respond within 5 business days, outlining costs and timeline adjustments.
- Minor Changes: Adjustments under 20% of the project value or considered minor by the Company are billed at standard hourly rates. Changes to delivery dates will be communicated.
- Major Changes: Changes exceeding 20% of the project value or deemed major require a revised or additional proposal. Work will not continue until the updated proposal is approved.
- Proposal Acceptance: Clients must accept any proposal within 14 business days. If a proposal is not accepted, the Company is not obligated to perform additional work.
Project Delays
- Client-Caused Delays: Delays in providing approvals, materials, or information result in proportional extensions to project milestones.
- Company-Caused Delays: Any delays caused by the Company will be communicated promptly.
- External Delays: Delays outside the control of either party, including natural disasters, government actions, strikes, terrorism, or war, are not considered a breach and will extend project timelines accordingly.
Testing and Acceptance
- Testing: Deliverables are tested using commercially reasonable methods before submission.
- Approval Period: The Client has 7 business days to approve or reject deliverables. Rejections must include written explanations. The Company will correct any issues within 14 business days, followed by an additional 7-day review period for the Client.
Client Responsibilities
The Client must act responsibly and on time, including:
- Providing materials that are accurate, legally compliant, and compatible with deliverables.
- Ensuring all content is proofread and complete; corrections may be billed.
- Making decisions regarding third-party providers without undue delay.
Accreditation and Promotion
- Credit: The Company may include a hyperlink or other credit unless otherwise agreed.
- Promotion: The Company reserves the right to showcase deliverables in portfolios, case studies, or marketing materials.
- Promotional Approval: Neither party shall unreasonably withhold consent for publication of project information. A link to the other party’s website will be included where applicable.
Confidential Information
Information deemed confidential by either party must be protected and not disclosed to third parties, except where it is already public or lawfully obtained from a third party without restriction.
Relationships
- Agents: The Company retains full responsibility for work performed by subcontractors.
- Non-Exclusivity: Both parties may engage with other clients or providers freely.
- Independent Contractor: HireNodeDevelopers.com operates as an independent contractor. Nothing creates an employment, partnership, or joint venture relationship. Work is not considered “work made for hire.”
Liability
All services are provided “as is.” The Company’s total liability is limited to fees paid by the Client for the services in question. Indirect or consequential damages are excluded.
Intellectual Property Rights
- License: Clients receive a non-exclusive, perpetual, worldwide license to use final deliverables as agreed. Any modifications or derivative works require written permission from the Company.
- Retention of Company Rights: All internal tools, methods, and frameworks remain the property of HireNodeDevelopers.com.
Support and Warranty
Reasonable support may be provided at standard hourly rates. Any warranty is void if deliverables are altered or modified by unauthorized third parties.
Amendments
HireNodeDevelopers.com reserves the right to update these Terms and Conditions at any time. Continued use of the website or services constitutes acceptance of the revised terms.
