Terms and Conditions

Definitions

  • Agreement – The proposal, these Terms and Conditions, and any additional documentation agreed upon by the Client and the Company.
  • Client Materials – Content or assets supplied by the Client for use within the Project, including images, text, or other resources.
  • Deliverables – The work products or services described in the Agreement.
  • Company Tools – Software frameworks, source code libraries, technical methodologies, design systems, and other proprietary resources created or owned by the Company.
  • Final Deliverables – The completed work provided to the Client once project obligations have been fulfilled.
  • Project – The development or consulting work agreed between the Company and the Client.
  • Services – All technical or consulting services outlined in the proposal.
  • Third-Party Assets – Materials obtained from external providers, including licensed software, stock graphics, plugins, or similar components.

Provision of Services

The Company agrees to perform the Services according to the scope, milestones, and timeline described in the approved proposal.

Proposal Validity

Project proposals remain valid for thirty (30) days from the date they are issued. If acceptance is not received within that timeframe, the Company may revise the proposal before proceeding.

Fees and Expenses

  • Project Fees. The Client agrees to pay all fees specified in the project agreement, including applicable taxes.
  • Additional Costs. Expenses related to third-party services such as hosting, licensing, or external tools are not included unless explicitly stated.
  • Reimbursable Expenses. Any approved project expenses will be invoiced at cost.

Payment Terms

Invoices must be paid within five (5) days from the date they are issued unless otherwise agreed. Payments shall follow the milestone schedule outlined in the project agreement.

Changes to the Project Scope

  • Change Requests. Any requested modification to the agreed scope must be submitted in writing. The Company will review the request and confirm potential impacts on pricing and timeline.
  • Minor Adjustments. Changes representing less than 20% of the project value may be billed at standard hourly rates.
  • Major Changes. Requests that significantly expand the scope may require a revised proposal. Work related to the expanded scope will begin only after written approval.

Project Delays

  • Client Delays. If required materials or approvals are not provided in a timely manner, project timelines may be extended accordingly.
  • Company Delays. Should delays arise on the Company’s side, the Client will be informed promptly.
  • Events Beyond Control. Neither party shall be considered in breach of the agreement when delays are caused by circumstances outside their reasonable control, including natural disasters, government actions, or similar events.

Review and Acceptance

Deliverables will undergo internal testing prior to submission. The Client has seven (7) working days to review the deliverables and provide approval or written feedback. Identified issues will be addressed within a reasonable timeframe.

Client Responsibilities

The Client agrees to:

  • Provide materials required for the Project
  • Ensure supplied content does not violate intellectual property rights
  • Review submitted work within agreed timeframes

Corrections resulting from errors in Client-provided content may incur additional charges.

Attribution and Portfolio Use

Unless otherwise agreed, the Company may reference completed projects in its portfolio, marketing materials, or case studies.

Confidential Information

Both parties agree to treat confidential information shared during the Project with appropriate care and not disclose it to unauthorized third parties unless required by law.

Relationship Between the Parties

The Company acts as an independent contractor. Nothing in this agreement creates an employment relationship, partnership, or joint venture.

The Company may engage subcontractors while remaining responsible for the completion of Services.

Limitation of Liability

The Company’s liability in connection with any Project is limited to the total amount paid by the Client for the relevant services. The Company shall not be responsible for indirect or consequential damages.

License to Deliverables

Upon full payment, the Client receives the right to use the Final Deliverables for their intended business purposes. Ownership of Company Tools and internal frameworks remains with the Company.

Support

Additional support or maintenance may be provided separately and may be billed at the Company’s standard rates unless otherwise agreed.

Updates to These Terms

These Terms may be updated from time to time. The version in effect at the time a proposal is accepted will apply to that project.
